By purchasing products from Keep Supply, the customer agrees to be bound by these Terms and Conditions (“Terms”). These Terms govern the customer’s use of Keep Supply's services, including the wholesale and resale of refrigeration and commercial HVAC products. Please read these Terms carefully.

4. Quotes, Orders and Pricing

Quotes

Quotes are provided for informational purposes and do not constitute a binding offer until a formal order is placed and confirmed. Prices, availability, and shipping estimates in quotes are subject to change and may expire.

Order Acceptance

All orders are subject to acceptance by Keep Supply. Keep Supply reserves the right to refuse any order or cancel any purchase for reasons including, but not limited to, product availability, pricing errors, or other issues.

Pricing

All prices are subject to change without notice. Prices at the time of order placement will be honored; however, Keep Supply reserves the right to adjust pricing for future orders.

Sales Tax

Keep Supply is required to charge U.S. federal, state, and local tax, applicable duties, and import fees on products, unless the customer provides a valid exemption certificate. The customer assumes responsibility for, and unconditionally guarantees payment or reimbursement of, all applicable taxes, fees, licenses, import duties, and expenses.

Payment Terms

Terms of payment are at the sole discretion of Keep Supply. Keep Supply accepts all major credit cards or eChecks (electronic payments) at the time of order. If the customer has established credit and an account in good standing, payment terms may be negotiated to net terms. Customers shall not withhold payment of any amounts due and payable due to any dispute with Keep Supply.

Promotional and Discount Codes

Promotional offers are valid for a limited time and may be subject to additional terms. Discount codes cannot be combined unless explicitly stated.

5. Shipping and Delivery

FOB Terms – Title and Risk of Loss

Keep Supply operates under FOB Destination terms. Title and risk of loss for all products transfer from Keep Supply to the customer upon delivery at the customer’s designated facility (“Destination”). Keep Supply retains responsibility for the goods during transit until they are delivered to the customer.

Transportation Costs

All transportation, shipping, and handling charges are the responsibility of the customer and will be added to the invoice or billed separately unless otherwise agreed in writing. If the customer does not specify a carrier or shipping method, Keep Supply reserves the right to select the method of transportation and routing.

Collect Shipping Accounts

When the customer requests that shipment be made using their collect shipping account, the following special terms apply:

FOB Origin: Title and risk of loss for products transfer from Keep Supply to the customer upon release to the carrier at Keep Supply’s shipping point (“Origin”).
Freight Insurance: Since the customer assumes responsibility at Origin, they are solely responsible for securing adequate freight insurance. Keep Supply bears no responsibility for any loss or damage occurring in transit.
Freight Claims: The customer is responsible for filing any necessary freight claims directly with the carrier. Keep Supply will provide reasonable assistance upon request but assumes no liability for claim resolution under collect shipping terms.

Delivery Schedules

Any delivery dates provided by Keep Supply are estimates only and depend on timely receipt of all necessary information from the customer. Keep Supply will not be liable for delivery delays caused by factors outside of its reasonable control.

Partial Shipments

Keep Supply reserves the right to make partial shipments unless otherwise specified in writing by the customer. Each partial shipment will be treated as a separate transaction, and payment will be due accordingly.

Inspection and Acceptance

The customer must inspect all products upon delivery. Products will be deemed accepted unless Keep Supply receives written notice of rejection within five (5) business days. Rejection is limited to material deviations from agreed specifications.

Packages Lost in Transit or Damaged by the Carrier

Lost shipments must be reported to Keep Supply within 60 calendar days of the original shipping date. Customers should refuse visibly damaged shipments at delivery or clearly note “DAMAGE” on the delivery receipt. Notes such as "subject to inspection" are not acceptable. Visible damage or shortage must be reported to the shipper within 30 calendar days of delivery. Concealed damage or shortage must be reported within 5 calendar days of delivery. Supporting documentation, including photos, must be submitted to initiate the claims process.

Keep Supply Responsibility: We will file all necessary claims directly with the carrier in the event of a package being lost or damaged while in transit.
Customer Resolution: Keep Supply will either issue a replacement for the missing/damaged item(s) or provide a credit to the customer, depending on the situation.

Package Marked as Delivered (Proof of Delivery Provided)

No Replacement or Credit: If the customer claims non-receipt of a package but the carrier provides a Proof of Delivery (POD) confirming it was delivered to the correct shipping address, Keep Supply is not responsible for issuing a replacement or credit.
Customer Assumes Risk Post-POD: Once delivery is confirmed via POD, the responsibility for the shipment transfers to the customer. Any issues (e.g., internal misplacement, theft, etc.) must be resolved by the customer.

6. Return Policy

Return Process

To return a product, the customer must obtain a Return Merchandise Authorization (RMA) from Keep Supply by contacting [email protected].

Restocking Fees

A 30% restocking fee applies to all returns unless a different fee is required by the manufacturer. This fee is non-negotiable.

Return Shipping Costs

Unless otherwise specified, the customer is responsible for all return shipping costs.

RMA Expiry

The RMA is valid for 30 days from issuance. Returns will not be accepted after this period.

No Returns on International Orders

Keep Supply does not accept returns for international orders. International customers must verify all order details prior to purchase.

7. Warranty

Products sold by Pluck LLC, DBA Keep Supply, may include a manufacturer’s warranty. Keep Supply acts solely as a distributor and does not confirm or guarantee manufacturer claims regarding product usage, installation, selection, warranty, or performance. Customers should refer to the original manufacturer’s documentation for details.

8. Export Compliance

Export Compliance Certification

For exported products, Keep Supply may request certification confirming compliance with U.S. export laws. Failure to provide this may delay or cancel the order. The customer is responsible for complying with all applicable laws.

Export Regulation Compliance

International resellers and distributors must ensure that products are not diverted to sanctioned countries or prohibited users. It is the customer's responsibility to comply with U.S. export regulations.

Customs, Duties, Taxes and Import Fees

The customer is responsible for all applicable taxes, duties, and governmental fees. If claiming tax exemption, a valid certificate must be submitted. If such a claim is later deemed invalid, the customer agrees to reimburse Keep Supply for the applicable taxes.

Returns and Refunds

All international orders (excluding Canada) are final once shipped. Pickup or return services are not provided. The only exception is transit-damaged items. Any duties or taxes paid are nonrefundable. Contact [email protected] for assistance.

9. Limitation of Liability

Disclaimer

Keep Supply provides products and services “as is.” All warranties, express or implied, including warranties of merchantability and fitness for a particular purpose, are disclaimed.

Liability

Keep Supply’s liability is limited to the purchase price of the product in question. Keep Supply shall not be liable for indirect, incidental, or consequential damages.

10. Governing Law

These Terms are governed by the laws of Greene County, Missouri, USA, where Keep Supply is incorporated, without regard to conflict of law principles.
